Stellate (NATUS SYSTEM) provides a MATLAB toolbox that can read and allows annotating the EEG files directly from the MATLAB. 
The best way is to export data into EDF using the software and read all EDF files into matlab using BioSig. Thats the best solution instead of ASCII files.
